HeartWorks Careers Co. - Terms and Conditions of Service


Effective Date: November 24, 2025

Please read these Terms and Conditions ("Terms") carefully before using the HeartWorks Careers Co. website (the "Service").


By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.


1. DEFINITIONS

1.1. Service Provider/Company: Refers to HeartWorks Careers Co., a duly registered entity in the Republic of the Philippines. 1.2. Service: Refers to the website, online platforms, and recruitment/staffing facilitation services offered by the Company. 1.3. User/You: Refers to any person or entity accessing the Service, including Job Seekers and potential Clients. 1.4. Job Seeker: An individual who uses the Service to apply for or seek virtual assistant or contractor roles. 1.5. Client: A business or individual seeking to engage the Company for recruitment, staffing, and support services under a separate agreement. 1.6. RSA: The formal Recruitment Services Agreement, which governs the commercial relationship between the Company and the Client.


2. GENERAL USE AND ACCEPTANCE

2.1. Agreement. These Terms constitute a binding legal agreement between the User and the Company. 2.2. Changes to Terms. The Company reserves the right, at its sole discretion, to modify or replace these Terms at any time. The "Effective Date" at the top of this document will indicate when the latest changes took effect. Continued use of the Service after any such changes constitutes acceptance of the new Terms.


3. CORE SERVICE POLICY (PRPA COMPLIANCE - THE GOLDEN RULE)

3.1. Prohibition of Fees from Job Seekers. HEARTWORKS CAREERS CO. DOES NOT COLLECT ANY FEES, DEDUCTIONS, OR CHARGES FROM JOB SEEKERS OR APPLICANTS AT ANY STAGE OF THE RECRUITMENT, SOURCING, OR PLACEMENT PROCESS. 3.2. Compliance. All service charges are paid exclusively by the Client, as stipulated in the formal RSA. This policy is strictly enforced to comply with all applicable Philippine laws governing Private Recruitment Agencies (PRPA). 3.3. Reporting. Any attempt by a third party or individual claiming to represent the Company to solicit fees from a Job Seeker must be immediately reported to the Company’s official contact channels.


4. CLIENT ENGAGEMENTS

4.1. Contractual Relationship. The provision of staffing, recruitment, and placement services to a Client is governed exclusively by a separate, fully executed Recruitment Services Agreement (RSA). These website Terms do not supersede or modify the financial or operational clauses of the RSA. 4.2. Fees. Clients agree to pay the fees detailed in the RSA, including the Sourcing Initiation Fee, Monthly Service Retainer Fee, and Risk Mitigation Retainer (RMR), according to the terms specified in that agreement.


5. INTELLECTUAL PROPERTY

5.1. Ownership. The Service, including all proprietary content, features, and functionality (such as logos, design, text, graphics, and software), is and will remain the exclusive property of HeartWorks Careers Co. and its licensors. 5.2. Prohibited Use. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as generally and customarily permitted through the Service’s normal functionality.


6. USER OBLIGATIONS AND PROHIBITED CONDUCT

6.1. Accuracy of Information. Users agree to provide true, accurate, current, and complete information when registering or applying for services. 6.2. Lawful Use. Users agree not to use the Service in any way that violates any applicable local, national, or international law or regulation, including the Philippine Data Privacy Act of 2012 (RA 10173). 6.3. Security. Users must not introduce viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful to the Service.


7. DISCLAIMER OF WARRANTIES

7.1. Service "As Is". Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Company makes no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, or materials included therein. 7.2. Contractor Performance. While the Company performs initial screening, it expressly disclaims all responsibility for the specific performance, conduct, or results produced by any Contractor placed with a Client. The Client assumes full control and risk upon engagement (see RSA Section 1.3).


8. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, in no event shall HeartWorks Careers Co., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; or (iii) unauthorized access, use, or alteration of your transmissions or content.


9. GOVERNING LAW AND JURISDICTION

9.1. Governing Law. These Terms shall be governed and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. 9.2. Jurisdiction. Any legal action or proceeding arising under these Terms shall be brought exclusively in the proper courts of the Philippines.
